3. Data Retention

Project-related data is retained for a maximum of 5 years after the conclusion of the business relationship to comply with Danish accounting regulations and to support warranty obligations. Contact form submissions are retained for 24 months unless an ongoing business relationship is established.

At blockspirex, we deliver custom software development services with the highest standards of quality and professionalism. This Refund Policy outlines the terms and conditions under which refunds may be issued for our bespoke development engagements.
1. Project Milestone-Based Refunds
All custom software development projects are structured around clearly defined milestones. Refund eligibility is assessed based on the completion status of project milestones:
- Pre-Development Phase: Full refund available if cancellation occurs before any development work has commenced
- During Development: Refunds are calculated proportionally based on completed versus remaining milestones. Payment for completed, approved milestones is non-refundable
- Post-Delivery: Once the final deliverable has been accepted and approved by the client, the engagement is considered complete
2. Non-Refundable Items
- Work completed and approved under signed-off milestone deliverables
- Third-party service costs (hosting, domain registration, API subscriptions) incurred on behalf of the client
- Custom design and architecture documentation delivered during the planning phase
- Administrative fees for project setup and resource allocation (capped at 10% of total project value)
3. Refund Request Process
To request a refund, contact [email protected] with your project reference number and a detailed explanation of the reason for the refund request. All refund requests are reviewed within 14 business days. Approved refunds are processed to the original payment method within 30 business days of approval.
4. Dispute Resolution
In the event of a dispute regarding refund eligibility, both parties agree to attempt resolution through good-faith negotiation before pursuing alternative dispute resolution. This agreement is governed by Danish law, and any disputes shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark.

These Terms of Service ("Terms") govern the provision of custom software development services by blockspirex ("we", "us", "our") to you ("Client", "you"). By engaging our services, you agree to be bound by these Terms. Please read them carefully before initiating a project.
1. Scope of Services
blockspirex provides custom software development, API architecture, cloud infrastructure, database design, mobile application development, payment system integration, and security audit services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a mutually agreed Project Proposal or Statement of Work ("SOW") that forms an integral part of these Terms.
2. Project Engagement & Milestones
- All projects begin with a discovery phase to define requirements, technical specifications, and project architecture
- Work is delivered in structured milestones with clear acceptance criteria
- Client approval of each milestone is required before proceeding to the next phase
- Delays in client feedback or approval may impact project timelines proportionally
3. Payment Terms
- Invoices are issued upon completion of each milestone as defined in the SOW
- Payment is due within 14 days of invoice date unless otherwise specified
- Late payments incur a statutory interest rate of 8% per annum under Danish Late Payment Act (Renteloven)
- All prices are stated in EUR or DKK exclusive of applicable VAT (25% Danish VAT)
4. Intellectual Property
Upon full payment of all invoices, the Client receives full ownership of all custom-developed source code, documentation, and deliverables produced under the engagement. blockspirex retains the right to use general knowledge, techniques, and non-proprietary know-how gained during the project for future engagements. Any pre-existing intellectual property or third-party components used in the development remain subject to their original licensing terms.
5. Confidentiality
Both parties agree to maintain strict confidentiality regarding all proprietary information, business strategies, technical specifications, and project details exchanged during the engagement. This obligation survives the termination of the agreement for a period of 3 years.
6. Limitation of Liability
blockspirex's total aggregate liability under any engagement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim. We shall not be liable for indirect, consequential, incidental, or punitive damages. This limitation does not apply to breaches of confidentiality or intellectual property obligations.
7. Warranty
blockspirex provides a 90-day warranty on all custom-developed code following final delivery and client acceptance. During this period, we will remedy any defects in the delivered work at no additional cost. This warranty does not cover issues arising from client modifications, third-party integrations, or changes in the hosting environment.
8. Termination
Either party may terminate the engagement with 14 days written notice. Upon termination, the Client is obligated to pay for all work completed up to the date of termination. All completed deliverables and source code developed up to that point shall be transferred to the Client upon payment of outstanding invoices.
9. Governing Law & Jurisdiction
These Terms are governed by the laws of the Kingdom of Denmark. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the Copenhagen City Court (Københavns Byret).
